These Terms of Service (“Terms“) govern your access to and use of monitero.io and any related websites, dashboards, products, and services provided by Monitero (“Monitero“, “we“, “us“, or “our“) (collectively, the “Services“).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
1. Eligibility
You may use the Services only if you are legally capable of entering into a binding agreement under applicable law. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. The Services
Monitero provides website and service monitoring tools and related features, which may include uptime monitoring, alerting, status-related functionality, reporting, integrations, and other features we make available from time to time.
We may modify, improve, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.
3. Account Registration
To access certain features, you may need to create an account. You agree to provide accurate, complete, and up-to-date information and to keep your account information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us promptly if you suspect unauthorized access to your account.
4. Acceptable Use
You agree not to misuse the Services. In particular, you must not:
- use the Services in violation of any applicable law or regulation;
- interfere with or disrupt the integrity, security, or performance of the Services;
- attempt to gain unauthorized access to the Services, accounts, systems, or networks;
- use the Services to transmit malicious code, spam, or harmful content;
- probe, scan, or test the vulnerability of any system or network without authorization;
- resell, sublicense, copy, or exploit the Services except as expressly permitted by us in writing;
- use the Services in a way that could harm Monitero, other users, or third parties.
5. User Content and Monitoring Data
You may submit, configure, upload, or otherwise provide data, URLs, endpoints, alert destinations, and other materials through the Services (“User Content“). You retain ownership of your User Content.
You grant Monitero a limited, non-exclusive, worldwide license to host, process, transmit, store, and use User Content solely as necessary to provide, maintain, secure, and improve the Services and to comply with legal obligations.
You represent and warrant that you have all rights, permissions, and authority necessary to provide the User Content and to allow us to process it in connection with the Services.
6. Fees and Payment
Some parts of the Services may be offered on a paid subscription basis. By purchasing a paid plan, you agree to pay all applicable fees, taxes, and charges associated with your selected plan.
Payments may be processed by third-party payment providers, including Paddle. Your use of such payment services may also be subject to the provider’s terms and policies.
Unless otherwise stated:
- fees are billed in advance on a recurring basis for the selected subscription period;
- subscriptions renew automatically unless canceled before the renewal date;
- fees are non-refundable except where required by law or expressly stated otherwise.
We reserve the right to change pricing, introduce new fees, or modify plan features at any time. Where required, we will provide advance notice before such changes take effect.
7. Free Plans, Trials, and Beta Features
We may offer free plans, trial access, or beta features. Such offerings may be subject to additional conditions and may be modified, limited, or discontinued at any time without liability.
Beta or preview features may contain bugs, errors, or incomplete functionality and are provided on an “as is” and “as available” basis.
8. Availability and Service Levels
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free operation unless expressly stated in a separate written service level agreement.
The availability of alerts, checks, notifications, integrations, or reports may be affected by factors outside our control, including third-party outages, provider limitations, internet issues, misconfiguration, or force majeure events.
You acknowledge that monitoring and alerting tools reduce risk but do not eliminate it, and Monitero is not responsible for losses caused by missed alerts, delivery delays, third-party failures, or service interruptions, except as required by law.
9. Third-Party Services and Integrations
The Services may interoperate with third-party providers, platforms, or integrations. We do not control and are not responsible for third-party services, and your use of them is subject to their own terms and policies.
We are not liable for outages, failures, data loss, pricing changes, or other actions by third-party providers.
10. Intellectual Property
The Services, including their software, design, branding, content, text, graphics, interfaces, and underlying technology, are owned by or licensed to Monitero and are protected by applicable intellectual property laws.
Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you by implication or otherwise.
11. Feedback
If you provide suggestions, ideas, feedback, or recommendations regarding the Services, you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use, modify, and incorporate such feedback without restriction or compensation to you.
12. Suspension and Termination
We may suspend or terminate your access to the Services, in whole or in part, immediately or at any time, if:
- you violate these Terms;
- your use of the Services creates risk for Monitero, other users, or third parties;
- we are required to do so by law;
- payment for a paid plan is overdue or fails.
You may stop using the Services at any time. You may also cancel your subscription through your account settings or the applicable billing provider, subject to any minimum term or billing commitment that applies.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. Monitero disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, secure, accurate, complete, or free from harmful components, or that any defects will be corrected.
14. Limitation of Liability
To the maximum extent permitted by law, Monitero and its directors, officers, employees, contractors, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or opportunities, arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, the total aggregate liability of Monitero for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:
- the amount you paid to Monitero for the Services during the twelve (12) months before the event giving rise to the claim; or
- one hundred euro (€100).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Monitero and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your use of the Services;
- your User Content;
- your violation of these Terms; or
- your violation of any law or the rights of a third party.
16. Privacy
Your use of the Services is also subject to our Privacy Policy and Cookie Policy.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date above. If required by law, or if the changes are material, we may provide additional notice.
By continuing to use the Services after updated Terms become effective, you agree to the revised Terms.
18. Governing Law
These Terms and any dispute, claim, or controversy arising out of or in connection with them or the Services shall be governed by and construed in accordance with the laws applicable in the jurisdiction in which Monitero operates, without regard to conflict of law principles.
The competent courts of that jurisdiction shall have exclusive jurisdiction, unless applicable consumer protection law provides otherwise.
19. General Terms
- If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- Our failure to enforce any provision of these Terms is not a waiver of that provision.
- You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
- We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- These Terms constitute the entire agreement between you and Monitero regarding the Services, unless supplemented by a separate written agreement.
